well just run the dcpromo wizard and make the server an additional domain controller to an existing domain and select the domain in the DC as the main domain.

after the server becomes an ADC, then install exchange ontop of that.

did you install the exchange minimum reqs on the DC as well ?
Since Exchange modifies the AD structure, it has to be installed on both the DC and the ADC.
Your 2 servers might not be replicating because the structure is different in the two.
