My motherboard is Intel D865perl .
    Ram 256+512 = 768
    3 Ghz Processor

If there was a power failure time resets and after i set the time and used the computer
If i wanted to shut down it shut downs(monitor turns off and windows shutdown)
but the System unit still works (fans are not stoping , keyboard lights are on)
And even if I press the power button it doesn't turn off. I have to press restart button and (after few mins) press power button to turn off the PC!

The easy way out is resetting BIOS. maybe you set a value no knowing what it does and it caused this.

    Try reseting Bios
Disconnect power and remove bios Battery, Then reset bios Perss and hold power button for few secs, and Some times it will work
Or remove Your RAM Press power butt and do the same.. ;)
If problem continues and if you know some electronics Try the caps arround bios batt, OR IF YOU DONT Pls claim warrenty or Giv it for repair..

BTW, a driver can stop a PC from shutting down (i mean, powering down at the end)
I installed JMicron AHCI drivers for the drive controller in Vista and the exact thing happened to me. Windows will shutdown, and hang just before powering off (and screen is blank).
